SEIS Portfolio Tracking for Angel Investors

SEIS tracking is not a yes/no column. Relief depends on the company, the shares you actually hold, the amount, the date, the SEIS3, and the holding period. Miss one and Self Assessment becomes archaeology.

Managing multiple SEIS investments

A first SEIS cheque fits in a folder. Five names later you have different certificate dates, one company that has not issued SEIS3 yet, and a follow-on that may be EIS instead. The operational rule: one company file, multiple capital lines, scheme on the line that received relief — not a single “tax type” for the whole relationship.

Recording investments

Record legal name (as on Companies House), trading name if different, amount in the currency you paid, completion date, and instrument. SEIS relief generally attaches to qualifying shares — a SAFE or note may convert later; do not mark the convertible as SEIS merely because the round was marketed that way. When shares are issued, update the line and attach the subscription documents.

If you invested via a nominee, note that on the company. Accountants waste hours assuming you hold certificated shares when a platform holds them.

Tax certificate management

The SEIS3 is the working document for a claim. Track requested vs on file. If the company is slow, that is an action, not a vibe. Exit tracking

Disposals, secondaries and failures change the book and can affect relief if they happen inside the minimum holding period. Record the event date, proceeds, and keep the certificate with the realised name in archive — do not delete the company because “it’s gone.” Your future self and HMRC both prefer a closed file to a missing one.

Document organisation

Minimum pack per SEIS name: subscription or nominee confirmation, SEIS3, articles or SHA extract if you have it, and any advance-assurance PDF the company shared. Record-keeping covers the wider file. SEIS-specific failure is mixing EIS3 and SEIS3 in one “certs” folder with no company label.

Portfolio monitoring

Watch holding-period end dates and unclaimed relief. Performance (MOIC) still matters — tax relief is not a substitute for a dead company. Best practices

  1. Flag scheme on completion day, not in January.
  2. Chase SEIS3 on a calendar, not when your accountant emails.
  3. Never claim from a spreadsheet cell with no file attached.
  4. Re-read holding-period rules when you plan a secondary.
  5. Share the book, not a ZIP of random PDFs.

Legal company name, amount, date, share class, scheme flag, SEIS3 status, expected certificate date if missing, and holding-period start. Store the certificate on the company, not in Downloads.
