EIS Portfolio Tracking for Angel Investors

Tracking EIS companies

List each legal entity that issued (or will issue) EIS shares to you. If the same startup later raises EIS after SEIS, that is another scheme line — see SEIS portfolio tracking. Trading names, product names and “the AI company” are not identifiers. Companies House numbers belong in the file.

Recording investments

Capture amount, date, share class, whether you used a nominee, and the round name the company used internally. Convertibles that are expected to become EIS shares later should stay labelled as convertibles until shares exist. Premature EIS flags are how people invent relief.

Tax record management

Track EIS3 on file, relief available, relief claimed, and holding-period milestones. Portfolio oversight

EIS names still need MOIC, updates and documents. Do not run tax in a silo. The home dashboard should show the same companies as the SEIS/EIS module. If those lists diverge, you have two books.

Reporting requirements

You report to HMRC via Self Assessment using certificate details. Internally you need a pack: holdings, amounts, dates, certificates, realisations. Startup portfolio reports covers performance views. Tax year prep is a subset: nothing missing, nothing double-counted.

Due diligence history

Keep advance assurance (if shared), notes on share class, and any warning that relief was not guaranteed. That file belongs with the holding so a later dispute or accountant question is not “I think they said it was EIS.”

Common investor errors

  • Claiming before the EIS3 exists.
  • Treating advance assurance as a certificate.
  • Selling inside the holding period without advice.
  • Losing nominee statements.
  • Spreadsheets where SEIS and EIS share one column called “tax.”

What is an EIS3?

The compliance certificate the company issues after HMRC authorises the share issue under EIS. You use its details to claim relief. Store it on the company record.

How is EIS tracking different from SEIS?

Same discipline, different scheme: typically 30% income tax relief (confirm current rules), different company and investor caps, often larger cheques. Do not copy a SEIS row and change the label.

Should diligence notes live with EIS holdings?

Yes. Advance assurance, share class and use of funds are part of why you believed relief would be available. Keep that memo with the company.
